These Terms of Service (Terms) govern your access to and use of the PinnReel website, mobile applications, APIs, creator tools, merchant dashboards, and related services (collectively, the Services) operated by PinnReel, Inc. (PinnReel, we, us, or our).

By accessing or using the Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you may not access or use the Services.

1. Eligibility

You must be at least 13 years old to use the Services. If you are under the age of majority in your jurisdiction, you may use the Services only with the consent of a parent or legal guardian.

If you access or use the Services on behalf of a company, brand, creator entity, merchant, or other organization, you represent and warrant that you have authority to bind that entity to these Terms.

2. Account Registration and Security

To access certain features, you must create an account.

You agree to:

  • Provide accurate, current, and complete information;
  • Maintain and promptly update your account information;
  • Keep credentials confidential and secure;
  • Notify us immediately of unauthorized access or use.

You are responsible for all activity occurring under your account.

We reserve the right to suspend, restrict, or terminate accounts that violate these Terms or pose legal, security, or operational risks.

3. Usernames and Identity

Usernames are issued on a first-come, first-served basis unless reserved.

PinnReel may:

  • Refuse, reclaim, reserve, or reassign usernames;
  • Require identity verification;
  • Suspend or remove accounts engaged in impersonation, misleading identity practices, or trademark misuse.

Reservation of a username does not grant property or intellectual property rights in that name.

4. User Content

A. Ownership

You retain ownership of content you upload, publish, or submit (User Content).

B. License to PinnReel

You grant PinnReel a worldwide, non-exclusive, royalty-free, sublicensable, transferable license to host, store, reproduce, modify, adapt, publish, display, distribute, and otherwise use User Content for purposes of operating, improving, promoting, and providing the Services.

This includes the right to:

  • Associate content with places, creators, merchants, campaigns, or activations;
  • Display content in maps, feeds, search, and promotional materials;
  • Use content for analytics, attribution, moderation, and fraud prevention.

You represent that you have all necessary rights to grant this license.

5. Content Moderation and Takedown

We may review, moderate, remove, restrict, or disable content at our discretion.

If you believe content infringes your intellectual property rights, please submit a notice to legal@pinnreel.com with:

  • Identification of the copyrighted work;
  • Identification of the infringing material;
  • Contact information;
  • A statement of good-faith belief;
  • A statement under penalty of perjury;
  • Your signature.

We comply with the Digital Millennium Copyright Act (DMCA) and may terminate repeat infringers.

6. Connected Accounts and API Use

If you connect a third-party account, you authorize PinnReel to access and use permitted data in accordance with your granted permissions and platform policies.

You agree not to misuse the Services to:

  • Scrape or harvest data without authorization;
  • Circumvent technical safeguards;
  • Reverse engineer or interfere with APIs;
  • Use automation or bots to manipulate metrics, campaigns, or unlocks.

7. Location-Based Participation and Assumption of Risk

PinnReel enables real-world participation, including check-ins, events, and merchant activations.

You acknowledge and agree that:

  • Participation is voluntary;
  • You assume all risks associated with visiting physical locations;
  • PinnReel does not control or guarantee safety, legality, accessibility, or suitability of any location;
  • You are responsible for complying with applicable laws and venue rules.

8. Campaigns, Rewards, and Revenue Disclaimer

Campaigns and rewards may be offered by PinnReel, merchants, creators, or partners.

Unless expressly stated:

  • Offers are subject to availability;
  • Merchants are responsible for fulfillment;
  • PinnReel does not guarantee redemption;
  • Creators are not guaranteed revenue, compensation, or exposure.

Nothing in these Terms creates a partnership, joint venture, employment, agency, or fiduciary relationship between PinnReel and any user, creator, or merchant.

9. Beta Features

We may offer beta, early access, or experimental features (Beta Features).

Beta Features are provided “as is” without warranties and may be modified or discontinued at any time.

10. Intellectual Property

Except for User Content, all intellectual property in the Services is owned by PinnReel or its licensors.

You may not copy, modify, distribute, sell, lease, or create derivative works from the Services without authorization.

11. Electronic Communications Consent

By using the Services, you consent to receive electronic communications from PinnReel, including service-related notices and legal disclosures.

12. Termination

We may suspend or terminate access for violation of these Terms, legal compliance, security concerns, or business reasons.

Upon termination, certain provisions survive, including intellectual property, limitation of liability, indemnification, and dispute resolution.

13. Disclaimer of Warranties

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND.

We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PINNREEL SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF $100 OR THE AMOUNT PAID BY YOU TO PINNREEL IN THE PRIOR 12 MONTHS.

15. Indemnification

You agree to indemnify and hold harmless PinnReel from claims arising from:

  • Your use of the Services;
  • Your User Content;
  • Your violation of these Terms;
  • Your violation of any third-party rights.

16. Dispute Resolution and Arbitration

Any dispute shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules.

You may opt out of arbitration within 30 days of accepting these Terms by sending written notice to legal@pinnreel.com.

Claims eligible for small claims court may be brought there.

You waive the right to participate in class actions or jury trials.

17. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law rules.

18. Force Majeure

PinnReel is not liable for delays or failure to perform due to causes beyond reasonable control, including natural disasters, acts of government, internet outages, or labor disputes.

19. Assignment

You may not assign these Terms without our consent. PinnReel may assign these Terms in connection with a merger, acquisition, or asset sale.

20. Severability and Waiver

If any provision is found unenforceable, the remaining provisions remain in effect.

Failure to enforce any right shall not constitute waiver.

21. Modifications

We may update these Terms from time to time. Continued use after updates constitutes acceptance.
